These Terms & Conditions ("Agreement") govern the use of the GeeksCharter Applicant Tracking System ("ATS" or "Platform") provided by Resolv360 Consulting Services LLP ("Service Provider") to the Client ("Customer").
By subscribing to or using the Platform, the Customer agrees to these terms.
GeeksCharter provides a cloud-based ATS platform that enables Customers to:
GeeksCharter ATS is offered on a per-user subscription basis. Customers may choose between Monthly Billing (pay-as-you-go) or Annual Billing (paid upfront at a discounted rate). Current published prices: see ATS Pricing.

Monthly Plan: total monthly fee = number of users × per-user monthly price. Annual Plan: total annual fee = number of users × per-user annual price, paid upfront.

GeeksCharter also offers RPO plans, where GeeksCharter sources, screens, and scores candidates on the Customer's behalf. The ATS described above is included standard as part of every RPO plan — it is not billed separately. Candidates can transparently view their status in the process.
RPO plans are priced as an annual, org-level base plan (paid upfront), plus a per-role-level rate card billed as a differential invoice when GeeksCharter begins sourcing for a specific job. Current published prices: see RPO Pricing.

GeeksCharter raises the differential amount as an invoice when sourcing begins for a particular job role — for example, for a Director/Executive level role, a differential invoice of ₹1,00,000 (₹1,50,000 − ₹50,000 already covered by the plan).
RPO plans are commit-paid annually upfront. GeeksCharter does not currently offer background verification check services under any plan.
The Platform operates as (a) a private Applicant Tracking System enabling the Customer to manage candidate data, and (b) an optional candidate discovery platform where candidates may independently create profiles or opt in to be visible to multiple employers. These functionalities operate under distinct data access and consent frameworks.
All candidate data uploaded, sourced, or managed by the Customer ("Customer Data") remains the exclusive property of the Customer. GeeksCharter generates a corresponding candidate profile within the Platform for the limited purpose of enabling candidate access and profile management. Such profiles remain private and accessible only to the relevant Customer unless and until the candidate independently verifies/activates their profile and provides explicit, informed consent to make it discoverable to other employers.
Any cross-employer visibility of candidate profiles occurs solely based on candidate-initiated action and consent; GeeksCharter is not responsible for a candidate's independent decision to make their profile publicly discoverable.
GeeksCharter shall not use Customer Data for recruitment, sourcing, or placement activities, make it available to other customers, or use it to populate or enhance any shared candidate marketplace or database. Any cross-employer visibility occurs only where independently enabled by the candidate.
The Platform may allow candidates to independently create profiles or explicitly opt in to be discoverable to multiple employers. In such cases, GeeksCharter acts as a data fiduciary under applicable law; visibility is governed by candidate-controlled consent and platform settings; such profiles remain distinct from Customer Data uploaded into the ATS.
Candidates uploaded or managed by the Customer within the ATS are not made visible to other employers, unless the candidate independently provides explicit consent through platform controls.
GeeksCharter ensures candidates are provided clear mechanisms to control visibility of their profiles, may withdraw consent at any time, and may request access to or deletion of their personal data in accordance with applicable law.
The Customer agrees to obtain all necessary consents from candidates prior to uploading their data, ensure compliance with applicable laws including the Digital Personal Data Protection Act, 2023, and ensure data is lawfully collected and accurate. GeeksCharter is not liable for Customer non-compliance.
Customer Data is retained during the subscription period. Data can be deleted within 90 days post termination unless otherwise requested. Candidate platform data is retained until consent is withdrawn or the account is deleted.
Customers may export data in standard formats (CSV/Excel). Candidates may request access to or export of their personal data.
GeeksCharter implements reasonable security safeguards including access controls and authentication, encryption where applicable, and monitoring for unauthorized access.
GeeksCharter maintains logical and operational separation between Customer Data within the ATS and candidate profiles created or made discoverable on the Platform. No data is transferred between these environments except where explicitly authorized by the candidate.
The Platform may identify duplicate profiles, create unified candidate profiles, and apply standardized scoring across all sources.
The Customer is responsible for user access management. GeeksCharter maintains reasonable security standards. Breaches must be reported promptly.
Both parties agree to maintain confidentiality of candidate data, business information, and Platform IP.
The Platform remains the property of GeeksCharter. The Customer receives a limited, non-transferable license.
Term: the Agreement is valid for the subscription period (typically 12 months).
Termination: for breach, with a 30-day cure period; or at the end of term, with notice.
No liability for indirect damages. Total liability is capped at fees paid in the last 12 months.
Governed by the laws of India. Jurisdiction: Bengaluru courts.
